1. Agreement to Terms

By accessing and using Gracestone LLC's website and services, you agree to be bound by these Terms & Conditions. If you do not agree, do not use our services.

2. Services Offered

We provide:

  • **Group Programs:** Cohort-based coaching experiences blending business strategy, coaching, and astrology

  • **Courses:** Self-paced or structured learning experiences

  • **Retreats:** In-person or virtual immersive experiences

  • **Private Engagements:** One-on-one coaching sessions and consultations

3. Important Disclaimers

**No Guarantees on Results:** We provide coaching, guidance, and business strategy based on our professional experience and expertise. **We make no guarantees, warranties, or promises regarding the results you will achieve.** Results depend on your individual circumstances, effort, commitment, and implementation of recommendations. Past results do not guarantee future results.

**Astrology is Not a Predictive Tool:** Astrology, as offered in our services, is a framework for self-reflection, personal insight, and decision-making support. **Astrology is not scientific, predictive, or a substitute for professional advice.** We do not claim that astrology can predict the future, guarantee outcomes, or provide medical, legal, financial, or therapeutic advice. Our use of astrology is for educational and exploratory purposes only.

Not a Substitute for Professional Services: Our coaching is not a substitute for:

  • Medical advice or treatment from licensed healthcare providers

  • Legal advice from licensed attorneys

  • Financial advice from licensed financial advisors

  • Mental health treatment from licensed therapists or psychiatrists

If you need any of these services, please consult appropriate licensed professionals.

Limitation of Liability: To the maximum extent permitted by law, Gracestone LLC is not liable for:

  • Indirect, incidental, special, or consequential damages

  • Loss of profits, revenue, data, or business opportunities

  • Damages arising from your use of our services or inability to use our services

  • Third-party actions or content

Our total liability is limited to the amount you paid for the specific service in question.

4. User Responsibilities

By using our services, you agree to:

  • Provide accurate and truthful information

  • Respect the confidentiality and privacy of other participants in group programs and retreats

  • Comply with all applicable laws and regulations

  • Not engage in harassment, discrimination, or abusive behavior

  • Not share confidential information from coaching sessions or programs without permission

5. Participation Requirements & Expectations

**Attendance & Engagement:**

  • Group programs and retreats require active participation as outlined in program descriptions

  • Cancellations must be made according to our cancellation policy

Professional Conduct: We reserve the right to remove participants who engage in disruptive, abusive, or disrespectful behavior toward coaches, facilitators, or other participants.

6. Confidentiality & Privacy in Coaching

Your Information is Confidential: Information shared during coaching sessions, group programs, and retreats is confidential and will not be shared with third parties without your written consent, except:

  • When required by law

  • When there is imminent risk of harm to you or others

  • When required to comply with court orders or legal proceedings

**Participant Confidentiality:** Participants in group programs and retreats agree to respect the confidentiality of information shared by other participants. Do not share others' personal stories, business information, or insights outside the program.

7. Payment Terms

Payment:

  • Payment for services is due as specified at time of purchase or per payment plan agreement

  • We accept credit card, wire transfer, PayPal, cash

  • All prices are in US dollars.

Refunds & Cancellations:

  • Group Programs & Courses: Each program and course will have a unique refund policy. Please check the specific course page for details. Typically, there is a set amount of time in which a refund can be requested and thereafter, no refunds are provided. 

  • Retreats: 50% refund 30 days before event; 25% refund 15-29 days before; no refund within 14 days.

  • Private Sessions: Cancellations must be made 48 hours in advance for 50% refund.

Late cancellations may be forfeited entirely.

Payment Plans: If you enroll in a payment plan, you agree to make all scheduled payments on time. Failure to make payments may result in:

  • Service suspension

  • Collection action

  • Legal proceedings

8. Intellectual Property

All content on our website, including text, graphics, logos, images, course materials, and coaching frameworks, is owned or licensed by Gracestone LLC and protected by copyright and intellectual property laws.

Your License: You are granted a limited, non-exclusive license to access our services for personal, non-commercial use only. You may not:

  • Reproduce, distribute, or transmit content without permission

  • Modify or create derivative works

  • Use content for commercial purposes

  • Remove copyright or proprietary notices

9. User-Generated Content

Any content you create or share during our services (feedback, testimonials, insights) may be used by us for:

  • Program improvement

  • Marketing and promotional purposes

  • Case studies or testimonials (with your permission)

We will not publicly use your name or identifying information in marketing without your written consent.

10. Third-Party Links & Content

Our website may contain links to third-party websites. We are not responsible for:

  • The content, accuracy, or practices of third-party sites

  • Third-party privacy policies or terms

  • Your interactions with third parties

Use third-party links at your own discretion.

11. Modification of Services

We reserve the right to:

  • Modify, suspend, or discontinue services

  • Change program formats, schedules, or content

  • Update pricing with reasonable notice

We will notify you of significant changes that affect your enrollment or payment obligations.

12. Dispute Resolution

Informal Resolution: Before legal action, we encourage resolving disputes through good-faith discussion. Contact us at contact@gracestone.org to discuss any issues.

Governing Law: These Terms & Conditions are governed by the laws of Oregon / USA, without regard to its conflict of law provisions.

Jurisdiction: You agree to submit to the exclusive jurisdiction of the courts located in Oregon / Marion County for any legal proceedings.

13. Limitation of Liability for Retreats & In-Person Events

By attending in-person retreats or events, you assume all risks of:

  • Physical injury or illness

  • Travel complications

  • Force majeure events (natural disasters, pandemics, etc.)

  • Third-party conduct

Gracestone LLC is not liable for injuries, illness, or damages arising from participation in retreats or events, unless caused by our gross negligence.

Health & Safety: Participants are responsible for:

  • Maintaining their own health and safety

  • Disclosing relevant medical conditions or medications to facilitators

  • Following all safety guidelines provided

  • Seeking medical attention if needed

14. Force Majeure

We are not liable for failure to perform services due to circumstances beyond our reasonable control, including:

  • Natural disasters, pandemics, or epidemics

  • Wars, terrorism, or civil unrest

  • Government actions or restrictions

  • Utility failures or internet outages

In such cases, we will offer rescheduling or refunds as reasonably possible.

15. Termination of Account

We reserve the right to terminate or suspend your account if you:

  • Violate these Terms & Conditions

  • Engage in abusive, harassing, or illegal behavior

  • Fail to pay for services

  • Create risk or liability to Gracestone LLC or other users

Termination does not affect payment obligations or refund limitations.

16. Severability

If any provision of these Terms & Conditions is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms & Conditions, along with our Privacy Policy, constitute the entire agreement between you and Gracestone LLC regarding your use of our services. Any prior agreements or understandings are superseded.
